Welcome to Website and/or the mobile app of The Girls Who Balls LLC (collectively the “Website”).   The Girls Who Ball (“TGWB”)is a private, members-only social club built for women who share a passion for sports, community, and meaningful connections. More than a membership, it is a curated experience designed to bring together like-minded women through exclusive sporting events, wellness experiences, networking opportunities, and a vibrant digital community.

Membership serves as the sole gateway to The Girls Who Ball ecosystem. Access to the private member platform, exclusive events, community discussions, partner perks, and future member benefits is reserved exclusively for active members. The club is intentionally designed to foster a high-quality, engaged community where members can build authentic relationships, discover new experiences, and feel a true sense of belonging. Whether You are a Member or simply accessing the Service to learn more about it, these Terms of Use (“Terms”), the Privacy Policy,  and any other policies identified herein and/or provided to you prior to or during your use of the Website represent a legal agreement between you and TGWB regarding your use of the Website and our operation of the Website. By accessing and using the Website and, if you choose to, becoming a Member, you are agreeing to be bound by and comply with these Terms of Use and the Privacy Policy.  Please do not use this Website or become a Member if you do not agree to all of these Terms including the terms of the Privacy Policy.  The latest Terms and Privacy Policy can be found on our website here Terms of Service and here Privacy Policy. TGWB has the right to revise these Terms at any time in its sole discretion.  If TGWB makes a material revision to the Terms we will let you know on the Website and/or via email and/or text message (depending on how you authorize us to contact you). Your continued use of the Website will confirm your acceptance of the revised Terms.  If you do continue visiting TGWB, you are agreeing to accept the new Terms and Conditions.  This Agreement is a contract and if you violate these Terms TGWB has the right to terminate your access to the Website and terminate your Membership in addition to pursuing any and all claims of relief available to TGWB under the law.

You must be at least 18 years old in order to use the Website and agree to these Terms BUT YOU MUST BE AT LEAST 21 YEARS OF AGE TO BECOME A MEMBER.  If you are agreeing to these Terms and using the Website on behalf of a company, you acknowledge and agree that you are legally entitled to bind the company to these Terms and that your use of the Website on behalf of the company is fully authorized by your company.

Some aspects of the Website and services may require you to be a Member of the community.

TGWB MEMBERSHIP TERMS

A. MEMBERSHIP DEFINED

A TGWB Membership gives you invitations and access to ticketed and other events, to exclusive and non-exclusive merchandise and giveaways, access to communicate with other Members and be a part of a community of women who love sports and sporting events.  The Membership revolves around sporting events that often require a ticket and an extra cost (over and above the Membership Fee) and may have a limited number of tickets available.  You may be required to agree to additional terms and conditions in connection with the purchase of a ticket and/or registration for an event.   Being a Member does not guarantee you can buy a ticket to every event.   Currently, EVENTS ARE ONLY HELD IN THE LOS ANGELES, CA AREA.

B. MEMBERSHIP PROCESS

To become a Member, you will have to provide TGWB some personal information and pay a monthly fee.  If you access the Website and become a Member, you will be required to give us a valid email address or mobile phone number and create a password.  You will be required to provide payment information and contact information.  You will be given the option to personalize your profile in the Member section of the Website that is available to other Members.  You agree that all information you provide through the Website during the account creation process will be accurate, truthful, current and complete (“Account Information”) and you agree to ensure such Account Information remains current and accurate for so long as you use the Website and hold a Membership.  You shall not impersonate any person or entity or misrepresent your identity or your affiliation with any person or entity.  You also agree to promptly notify us of any unauthorized use of your name, likeness, or account in connection with the Website.  Your profile will be “public” at the time of registration and therefore accessible to other Members unless you change your setting on your Membership Account page.  Your Membership status will not be affected if you opt to decline to personalize your profile and/or make your profile public to other Members.  If you elect to keep your profile public, other Members may contact you both publicly and privately.  All public communications between Members are monitored by TGWB and subject to the TGWB Code of Engagement (see below).  All private communications are private between the Members but are still subject to the Code of Engagement.  All of your activities as a Member are stored under your email address and/or mobile phone number and your email address and/or mobile phone number must be used to recover access and engage with TGWB community.   Thus, you must notify us immediately of any changes to your email address or mobile phone number.   TGWB does not collect or store personal credit card or other payment information.  Please see our Privacy Policy for more information on what information we collect and how we store and use the information we collect.

C. MEMBERSHIP TERMS

Memberships are annual (12 months from the first date of Membership) and are billed on a monthly basis.  As a Member, you will be eligible to purchase and/or register for tickets to ticketed sporting  events and other TGWB events.  You will also receive notifications about merchandise drops, you may from time to time be eligible for discounts from TGWB partners and/or affiliates, you will be free to use our Members communication service and attend membership social events.  No refunds will be issued for Memberships.  Memberships are not cancellable as a general rule.  However, if you move away from the Los Angeles metro area to a city where TGWB does not operate, or if you have a significant life event like illness or a family emergency that makes it unduly burdensome for you to participate in TGWB club activities, please contact us at orders@thegirlswhoball.com to discuss your options regarding your Membership obligations.

Membership Renewals: You agree that if you purchase a Membership, your Membership will automatically renew at the Membership period frequency referenced on your Membership page (or if not designated, then annually, billed monthly) and at the then-current rates which may be different than the previous Membership period, and your payment method will automatically be charged at the start of each new Membership period for the fees and taxes applicable to that period. If at any time your payment is declined your Membership will be terminated and you will no longer have access to any Members-only features of the Website.  To avoid future Membership charges, you must cancel your subscription seven (7) days before the Membership period renewal date by either cancelling your Membership within the account interface of the Site or by telling us via email at legal@thegirlswhoball.com that you want to cancel your Membership.

TGWB does not process payment for any services. To facilitate payment for the Membership we use Stripe, Inc. and its affiliates ("Stripe"), a third-party payment processor. These payment processing services are provided by Stripe and are subject to the Stripe terms and conditions and other policies available at https://stripe.com/legal and Stripe's Global Privacy Policy available at https://stripe.com/privacy (collectively, the "Stripe Agreements"). By agreeing to these Terms of Service, users that use the payment functions of the Service also agree to be bound by the Stripe Agreements, as the same may be modified by Stripe from time to time. You hereby authorize Stripe to store and continue billing your specified payment method unless you cancel your Membership as detailed above. Please contact Stripe for more information. TGWB assume no liability or responsibility for any payments you make through the Website.

D. MEMBER INTERACTION

When you elect to become a Member, You will be asked to create a Member profile.  You may elect to share as much information about yourself as is requested, but any personal information You elect to share with other Members is at your sole option.  Your Member created Profile will be public by default.  You can change your public/private settings at any time through your account settings.   You can communicate with other Members of TGWB that also agree to communicate with other Members.  Public communications can be seen by all Members and TGWB.  Private communications between Members are private.  All communications through the Website and all communications generally to other Members who expressly agree to be contacted by Members must comply with TGWB Code of Engagement set forth below.

Code of Engagement.

The purpose of The Girls Who Ball is to create a community of women who are sports fans and like attending sporting events.  TGWB is about joy, and connection and celebrating this community of women who love sports.  We will not tolerate communications between Members that undermine our purpose.  Therefore, communications must not be obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights (including publicity rights), or otherwise injurious to third parties or objectionable, and does not consist of or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings, or any form of "spam" or unsolicited commercial electronic messages or other commercial messages. You may not use a false e-mail address, impersonate any person or entity, or otherwise mislead Member(s). TGWB reserves the right (but not the obligation) to remove or edit such communications and may regularly review public communications.  If TGWB believes communications violate this Code of Engagement, in addition to removing or editing the communications TGWB may terminate the Membership of the Member in violation.   Additionally, if Members elect to communicate privately, the terms of this Code of Engagement still apply.  If you believe a Member has violated this Code of Engagement in private communications with you, please contact us as soon as possible at legal@thegirlswhoball.com.

If you do post content and/or communications, and unless we indicate otherwise, you grant TGWB a nonexclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, perform, translate, create derivative works from, distribute, and display such content throughout the world in any media. You represent and warrant that you own or otherwise control all of the rights to the content that you post; that the content is accurate; that use of the content you supply does not violate this policy and will not cause injury to any person or entity; and that you will indemnify TGWB for all claims resulting from content you supply. TGWB has the right but not the obligation to monitor and edit or remove any activity or content. TGWB takes no responsibility and assumes no liability for any content posted by you or any third party.

Website Assets and Content:

As between you and TGWB, the technology that powers the Website and the Content of the Website is owned by TGWB and/or its third-party providers.  It is not owned by you.  You cannot steal it, scrape it, record it, copy it, revise it, reverse engineer it, use it for any artificial intelligence training or any other purpose, or use it in any way other than how we have presented it to you on the Website.   If you contribute content to the Website through technology provided and enabled by TGWB, you grant to TGWB a perpetual, non-exclusive, license and sublicense rights to reproduce, store, review, delete, modify, and/or use in connection with the business and subject to the TGWB privacy policy.   Any violation of these Terms or improper use of the Website or the Content is a violation of law and these Terms of Service and TGWB will cooperate with the Content owners to prosecute such violations to the fullest extent of the law.

Any commercial distribution, publishing or exploitation of the Website, or any content, code, data, intellectual property and/or materials owned by TGWB (collectively “Content”), is strictly prohibited unless you have received the express prior permission of TGWB or the applicable rights holder.   If you make other use of the Website, or the Content, except as otherwise provided above, you may violate copyright and other laws of the United States, other countries, as well as applicable state laws and may be subject to liability for such unauthorized use.

IF YOU ELECT TO MAKE ANY PART OF YOUR MEMBERSHIP PROFILE PUBLIC AND/OR COMMUNICATE WITH OTHER MEMBERS OR PERMIT OTHER MEMBERS TO COMMUNICATE WITH YOU THROUGH THE WEBSITE OR OTHERWISE, YOU ACKNOWLEDGE AND AGREE THAT TGWB HAVE NO LIABILITY FOR COMMUNICATIONS MADE TO YOU OR SEEN BY YOU THAT ARE MADE BY OTHER MEMBERS.  TGWB HAS A CODE OF ENGAGEMENT BUT CANNOT GUARANTEE THAT MEMBERS WILL ABIDE BY THE CODE OF ENGAGEMENT.  YOU HEREBY ASSUME ALL RISKS THAT ARE INHERENT IN COMMUNICATING WITH AND/OR SOCIALIZING WITH PEOPLE YOU HAVE NEVER MET.  THE ONLY REQUIREMENT TO BE A MEMBER OF TGWB IS TO COMPLETE THE MEMBERSHIP ACCOUNT INFORMATION, BE 21 YEARS OF AGE OR OLDER, PAY THE MEMBERSHIP FEES AND HAVE READ AND AGREED TO THESE TERMS OF SERVICE AND THE PRIVACY POLICY.  The above disclaimer applies to any and all damages, liability or injuries caused by any the communications, actions or inactions of any Member.

We reserve the right to do any of the following, at any time, without notice, to: (1) modify, suspend or terminate the operation of or access to the Website, Events, and/or Content or any portion thereof, for any reason; (2) modify or change the Website, Services and/or Content or any portion thereof, and any applicable policies or terms related thereto; and (3) interrupt the operation of the Website, Services and/or Content or any portion thereof, as necessary to perform routine or non-routine maintenance, error correction, or other changes.

Limitation of Liability:

EXCEPT WHERE PROHIBITED BY LAW, IN NO EVENT WILL TGWB BE LIABLE TO YOU FOR ANY AND ALL DIRECT, INDIRECT, SPECIAL, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, PUNITIVE DAMAGES OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOST WAGES, EMOTION DISTRESS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF TGWB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, HOWEVER CAUSED, WHETHER IN CONTRACT, TORT, OR OTHERWISE, ARISING OUT OF OR RESULTING FROM THE USE OR THE INABILITY TO USE THE WEBSITE, SERVICES OR EVENTS; OR (II) ANY OTHER MATTER RELATING TO THE WEBSITE, SERVICES OR EVENTS. IF, NOTWITHSTANDING THE OTHER PROVISIONS OF THESE TERMS, TGWB IS FOUND TO BE LIABLE TO YOU FOR ANY DAMAGE OR LOSS WHICH ARISES OUT OF OR IS IN ANY WAY CONNECTED WITH YOUR USE OF THE WEBSITE, SERVICES OR CONTENT, TGWB’S LIABILITY SHALL IN NO EVENT EXCEED THE GREATER OF THE TOTAL AMOUNT OF THE FEE(S) PAID BY YOU FOR YOUR MEMBERSHIP OR $1,000.  THE LIMITATIONS, EXCLUSIONS AND DISCLAIMERS IN THIS SECTION AND ELSEWHERE IN THESE TERMS APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY, SUCH AS FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

Indemnification:

You are responsible for maintaining the confidentiality of your username(s), password(s), and your account(s), as well as all activities that occur under your account(s), including communications. You hereby agree to indemnify, defend, and hold us, our licensors,  agents, representatives and other authorized users, and each of the foregoing entities' respective officers, directors, owners, employees, agents, representatives and assigns (collectively, the "Indemnified Parties") harmless from and against any and all losses, damages, liabilities and costs (including settlement costs and any legal or other fees and expenses for investigating or defending any actions or threatened actions) incurred by the Indemnified Parties in connection with any claim arising out of any breach by you of these Terms or claims arising from your use of the Website, the Events and/or your account(s). You shall use your best efforts to cooperate with us in the defense of any claim. We reserve the right, at our own expense, to employ separate counsel and assume the exclusive defense and control of any matter otherwise subject to indemnification by you.

Location and Jurisdiction:

The Website, Events and all the Content on the Website is located in the United States of America.  It may not be available or legal for your use in other jurisdictions.  Your use of the Website outside the United States is at your own initiative and any you must comply with the terms and territorial limitations of the agreements for the Events you attend.

You agree that any action at law or in equity arising out of or relating to these Terms, the Privacy Policy and the relationship between you and us shall be governed by and construed in accordance with the laws of the State of California, without regard to its principles of conflict of laws. You agree to submit to the personal and exclusive jurisdiction of the federal and state courts located in Los Angeles, CA and waive any jurisdictional, venue, or inconvenient forum objections to such courts for any claims not subject to the Binding Arbitration section below.

BINDING ARBITRATION – READ CAREFULLY AS THIS IMPACTS YOUR RIGHTS:

Any claim or controversy at law or equity that arises out of these Terms of Use, the Website and/or TGWB Membership,  shall be resolved through binding arbitration. In such cases, the arbitration shall be administered by the American Arbitration Association under its Commercial Arbitration Rules (including without limitation the Supplementary Procedures for Consumer-Related Disputes, if applicable), and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.

Any Claim shall be arbitrated on an individual basis and shall not be consolidated with any Claim of any other party whether through class arbitration proceedings or otherwise.

Each of the parties hereby knowingly, voluntarily and intentionally waives any right it may have to a trial by jury in respect of any Claims (including but not limited to any claims, counterclaims, cross-claims, or third party claims).

Informal Negotiation

Before initiating any formal legal proceeding, you and the TGWB agree to attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms of Use, the Website and/or your Membership (each, a "Dispute") informally. To start this process, the initiating party must send a written notice to the other party describing the facts, the nature of the Dispute, and the specific relief sought. Notices to TGWB must be sent via certified mail to: 2108 N St. STE N, Sacramento, CA, 95816, USA  or by email to legal@thegirlswhoball.com.  Notices to you will be sent to the email and, if provided, the address on file with TGWB.  If you and TGWB cannot resolve the Dispute within thirty (30) days of receiving the initial notice, either party may commence formal arbitration under the terms set forth below.

CLASS ACTION WAIVER

YOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. Further, unless both you and the Company agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding. If this specific paragraph is found to be unenforceable, then the entirety of this Dispute Resolution and Arbitration Clause shall be null and void.

JURY TRIAL WAIVER

YOU AND THE COMPANY ACKNOWLEDGE AND AGREE THAT BY ENTERING INTO THESE TERMS, YOU AND THE COMPANY ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY FOR ANY DISPUTE ELIGIBLE FOR ARBITRATION.
